Terms of Service

1. Agreement to Terms

Welcome to Careerday Inc. ("Careerday", "we", "our", "us"). By accessing or using our website, mobile or desktop apps, browser extensions, or any other products and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Services.

2. Beta Services & Limitations

Beta Status. The Services are currently in beta and under active development. By using the Services, you acknowledge and agree that:

  • Some features may be incomplete, experimental, or not function as intended;
  • The Services may experience downtime, data loss, or other technical issues;
  • Features, functionality, and performance may change without notice;
  • We make no guarantees about job search results, interview outcomes, or employment success;
  • You use the Services at your own risk and should not rely solely on them for critical career decisions.

No False Advertising Claims. You acknowledge that any promotional materials, feature descriptions, or performance claims are aspirational and subject to the beta limitations described above. You waive any claims for false advertising, misrepresentation, or failure to deliver specific results related to the beta nature of the Services.

3. Changes to Terms

We may revise these Terms from time to time. Material changes will be announced by e-mail or in-app notice at least 15 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

4. Using Our Services

4.1 Account Creation

Certain features require an account. Your account is personal to you and may not be shared, transferred, or used by anyone else. You are responsible for all activity that occurs under your credentials. Keep your password confidential and notify us immediately of any unauthorised use.

4.2 Eligibility

You must be at least 16 years old—or the age of digital consent in your jurisdiction— to use the Services. If you are under 18, you may use the Services only with the permission of a parent or legal guardian.

4.3 Acceptable Use

You will not:

  • Violate any applicable law or regulation;
  • Upload viruses, malware, or malicious code;
  • Attempt to gain unauthorised access to any part of the Services or related systems;
  • Use automated scripts, scrapers, or bots to harvest data or interfere with the Services;
  • Reverse-engineer or attempt to derive source code or underlying models, except to the extent such restriction is prohibited by law;
  • Impersonate any person or entity, or misrepresent your affiliation with Careerday or others.

5. Subscriptions & Payment

Certain features are offered on a paid subscription basis ("Paid Services"). Prices, billing cycles, and features are described at checkout. Fees are billed via RevenueCat, Stripe, or the applicable app store and include any taxes where required by law.

Auto-Renewal. Unless you cancel before the end of the current term, your subscription will renew automatically at the then-current price. You can cancel at any time in your Careerday dashboard or the platform where you purchased. Cancellations take effect at the next renewal date; we do not issue pro-rata refunds except where required by applicable law or specific app-store policy.

If a payment is not successfully settled, we may suspend or terminate your access to the Paid Services.

6. Intellectual Property

The Services and all related content, trademarks, and software are owned by Careerday or its licensors and are protected by copyright and other laws. We grant you a limited, non-exclusive, non-transferable licence to use the Services solely for their intended purpose and in accordance with these Terms.

Except for the licence granted above, nothing in these Terms transfers any intellectual-property rights to you.

7. User Content

You retain ownership of the résumé, profile data, messages, or other materials you submit ("User Content"). By posting User Content, you grant Careerday a worldwide, non-exclusive, royalty-free licence to host, process, display, and distribute that content for the purpose of operating, improving, and promoting the Services. This licence ends when you delete your content or close your account, except to the extent it has been shared with others.

You represent that you have all rights necessary to grant this licence and that your User Content does not infringe or violate any third-party rights.

8. DMCA & Copyright

If you believe material on the Services infringes your copyright, please send a notice pursuant to the U.S. Digital Millennium Copyright Act to
DMCA Agent – Careerday Inc., 251 Little Falls Drive, Wilmington, DE 19808, USA, or dmca@careerday.com. Include all information required by 17 U.S.C. 512(c)(3).

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CAREERDAY DOES NOT GUARANTEE THAT JOB APPLICATIONS OR INTERVIEWS WILL RESULT IN EMPLOYMENT. THE BETA NATURE OF THE SERVICES MEANS FUNCTIONALITY MAY BE LIMITED, EXPERIMENTAL, OR SUBJECT TO CHANGE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CAREERDAY AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR REVENUE, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. THIS LIMITATION APPLIES WITH PARTICULAR FORCE TO ANY ISSUES ARISING FROM THE BETA STATUS OF THE SERVICES.

11. Termination

You may stop using the Services at any time. We reserve the right to suspend or terminate your access, remove content, or reclaim usernames **with or without cause** at our sole discretion and without liability to you. Reasons may include (but are not limited to) account-sharing, using one account on behalf of others, data scraping, inactivity, non-payment, or any behaviour that we believe harms the Services or other users. Upon termination, Sections 6–15 will survive.

12. Governing Law & Dispute Resolution

These Terms and any dispute shall be governed by the laws of the State of Delaware, U.S.A., without regard to conflict-of-law rules.

Arbitration. Any dispute not resolved informally will be finally settled by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration will be held in Wilmington, Delaware, or another mutually agreed location. You and Careerday waive any right to a jury trial or to participate in a class action. Nothing prevents either party from seeking injunctive relief in a court of competent jurisdiction.

If the class-action waiver is found unenforceable, the entire arbitration clause shall be null, and disputes shall be litigated in the state or federal courts located in New Castle County, Delaware, and the parties consent to exclusive jurisdiction.

13. Miscellaneous

• These Terms constitute the entire agreement between you and Careerday.

• If any provision is held invalid, the remainder shall remain in effect.

• Our failure to enforce any right is not a waiver of future enforcement.
